
Saver.One Terms of Service
Effective Date: January 16, 2026
1. Introduction
1.1 These Terms of Service (“Terms”) constitute a legal agreement between you (referred to herein as “Customer,” “Administrator,” and/or “End User”) and Motor Supply, Inc. (“Motor Supply,” “we,” “our,” or “us”) governing your use of Saver.One and its related hardware, software, installation services, logging (available upon request), and data analytics capabilities (collectively, the “Services”).
1.2 By purchasing, activating, accessing, or using the Services - including acceptance of the 30-day money-back guarantee - you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
2. Provision of Services
2.1 Scope of Services
The Services provided under these Terms include:
• Hardware – Devices and components supplied by Motor Supply necessary for Saver.One functionality
• Software – The Saver.One software and any accompanying applications
• Installation – Guidance and/or direct installation services as specified by Motor Supply
• Logging & Data Analytics – Logging features (available upon request) and data analytics services designed to help monitor and optimize operations
2.2 Use of the Services
You agree to use the Services solely in accordance with these Terms, applicable documentation, and all relevant laws and regulations.
3. Customer Responsibilities
3.1 Account & Access
You are responsible for maintaining the confidentiality of account credentials and for all activities occurring under your account. You agree to promptly notify Motor Supply of any unauthorized use or security breach.
3.2 Compliance
You shall comply with all applicable laws and ensure that installation, configuration, and use of the Services and hardware are performed in accordance with Motor Supply instructions and guidelines.
4. Hardware & Installation
4.1 Installation
Hardware must be installed in accordance with Motor Supply’s written instructions. If you elect to self-install hardware, you do so at your own risk. Motor Supply is not liable for issues arising from installation performed without its direct involvement.
4.2 Hardware Use
You agree to use the hardware only as intended and in accordance with provided documentation. Unauthorized modifications or improper handling may void warranties and result in additional charges.
4.3 Hardware Ownership and Return
All hardware provided under these Terms remains the sole and exclusive property of Motor Supply. Upon expiration or termination of the Subscription Term, or in the event of non-payment, the Customer shall, at its sole expense, promptly uninstall and return the hardware in reasonable condition, normal wear and tear excepted. Failure to return hardware may result in charges equal to the replacement cost of the equipment.
5. Fees, Payment & Subscription Terms
5.1 Subscription Term
Saver.One is offered on a binding thirty-six (36) month subscription and equipment lease term (“Subscription Term”), unless otherwise agreed to in writing. Pricing is based on the total number of active vehicles under contract.
5.2 30-Day Money-Back Guarantee
Motor Supply provides a thirty (30) day money-back guarantee beginning on the date the Services are first activated (“Guarantee Period”). If the Customer is not satisfied and provides written notice of cancellation within the Guarantee Period, Motor Supply will refund all subscription fees paid during that period.
The following are non-refundable, unless specifically agreed upon in writing:
• Upfront setup and hardware fees
• Professional installation
• Taxes
• Third-party costs
Upon cancellation, all hardware must be returned in accordance with Section 4.3.
5.3 Subscription Pricing (36-Month Term)
Pricing is billed monthly in advance and volume pricing applies to the total number of active vehicles under contract.
Starter 36 – 1–10 vehicles – $50 per vehicle / month
Team 36 – 11–24 vehicles – $45 per vehicle / month
Growth 36 – 25–49 vehicles – $40 per vehicle / month
Pro 36 – 50–149 vehicles – $38 per vehicle / month
Scale 36 – 150–499 vehicles – $35 per vehicle / month
Enterprise 36 – 500+ vehicles – $30 per vehicle / month
5.4 Upfront Setup & Hardware
An upfront setup and hardware lease fee of $200 per vehicle applies. Hardware is leased for the duration of the Subscription Term and remains the property of Motor Supply. Taxes and professional installation are not included unless expressly stated in writing.
5.5 Payment Authorization
You authorize Motor Supply to automatically charge the payment method on file for all recurring fees and applicable charges. You agree to maintain accurate billing information.

7. Term and Termination
7.1 Term
These Terms remain in effect for the duration of the thirty-six (36) month Subscription Term beginning on the Effective Date or the date the Services are first activated, whichever occurs first.
7.2 Termination for Cause
Either party may terminate for material breach if such breach is not cured within thirty (30) days after written notice. Early termination by the Customer may result in early termination fees as specified in the applicable subscription agreement.
7.3 Effect of Termination
Upon termination, access to the Services will cease. Motor Supply may deactivate accounts and delete data in accordance with applicable data retention policies.
8. Disclaimers
8.1 General Disclaimer
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
8.2 Driver Aid
The Services are intended as an operational aid and are not a substitute for safe driving practices or sound judgment.
9. Indemnification
You agree to indemnify and hold harmless Motor Supply and its officers, directors, employees, and agents from claims arising from your use of the Services or breach of these Terms.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MOTOR SUPPLY’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Arbitration
11.1 Agreement to Arbitrate
Disputes shall be resolved by binding arbitration in South Carolina.
11.2 Opt-Out
You may opt out of arbitration by written notice within thirty (30) days of first using the Services.
12. Miscellaneous
12.1 Entire Agreement
These Terms constitute the entire agreement between the parties.
12.2 Assignment
Neither party may assign these Terms without prior written consent, except in connection with a merger or sale of substantially all assets.
12.3 Governing Law
These Terms are governed by the laws of the State of South Carolina.
12.4 Force Majeure
Neither party is liable for delays caused by events beyond reasonable control.
12.5 Notices
Notices may be delivered via email or U.S. mail and are deemed received upon sending.
13. Definitions
“Services” means Saver.One hardware, software, installation, logging, and analytics.
“Hardware” means physical devices provided by Motor Supply.
“Software” means Saver.One applications and digital components.
“Customer Data” means data transmitted or stored using the Services.
“End User” means individuals authorized by the Customer to use the Services
